This car will only be made available for pickup after the buyer has signed the below binding addendum (please read the English version) Additional Terms&Conditions These “Additional Terms&Conditions” apply to the purchase of a Formula 1 car (“Show Car”) on Catawiki’s Online Marketplace, in addition to the Contract of Sale between the Buyer and the Seller, Scuderia AlphaTauri S.p.A. (hereinafter also referred to as “SAT”). By placing a Bid on a Lot for a Show Car, the Buyer agrees to be bound by these Additional Terms&Conditions and such shall become effective automatically at the time when the Contract of Sale becomes effective as stipulated in the Catawiki General Terms of Use Article 4, sub-point one. 1) All capitalized terms not defined herein shall have the meaning ascribed to them in the Contract of Sale and in Catawiki General Terms of Use. 2) The Buyer is fully aware of, appreciates, and accepts that the Show Car is sold by SAT to the Buyer without a power unit and for static and immobile, private exhibition purposes only. “Static and immobile” exhibition means that the Show Car will be displayed in a stationary, secure position, locked and unable to move. “Private” exhibition means that the Show Car will not be displayed in places open to the public, such as public areas or commercial establishments. 3) If the Buyer uses the Show Car for running, testing, racing, or any other non-static purpose, the Buyer appreciates and accepts the inherent legal and material risks, including accidents which could occur causing physical injuries and death. The Buyer understands and accepts that SAT expressly disclaims all warranties and liabilities for non-static or mobile use of the Show Car. The Buyer, on behalf of itself, its agent, heirs and successors (be they minors or otherwise legally incapable) expressly releases, indemnifies and holds harmless SAT to the extent lawfully permissible from any claims, demands, proceedings, actions, liabilities, costs and expenses arising (whether directly or indirectly) of whatsoever nature arising from such non-authorized use. 4) The Buyer understands and accepts that the Show Car is branded with trademarks and logos of SAT and its affiliates, partners, suppliers, and sponsors (“Red Bull & Sponsors IP”). The purchase of the Show Car shall not vest any rights on the Red Bull & Sponsors IP in the Buyer. All trademarks and logos, as well as any other intellectual property rights existing on the Show Car, whether owned by SAT, its affiliates, partners, suppliers, or sponsors, are and shall remain the sole property of their respective owners. The Buyer acknowledges and agrees that no right in the Red Bull & Sponsors IP is assigned, licensed or otherwise transferred. The Buyer is only entitled to the right to display the Red Bull & Sponsors IP as appearing on the Show Car for static and immobile, private exhibition purposes only, without any changes, alterations or other modifications of the Red Bull IP or Sponsors IP, including the addition of other logos or graphics. As a consequence, the Buyer undertakes: a) not to acquire its own rights on identical or similar trademarks and logos, either through registration or use, anywhere worldwide; b) not to derive or assert any future rights against SAT and/or its affiliates, partners, suppliers, or sponsors; c) not to display the Show Car in places open to the public, such as public areas or commercial establishments, unless all the Red Bull & Sponsors IP are entirely removed; and d) releases, indemnifies and holds harmless SAT to the extent lawfully permissible from any claims, demands, proceedings, actions, liabilities, costs and expenses arising (whether directly or indirectly) of whatsoever nature arising from such non-authorized use and the public display of Red Bull & Sponsors IP. 5) All obligations and liabilities herein shall be binding upon the Buyer’s successors and assignees, including, without limitation, heirs, legal representatives, administrators, executors, and any subsequent purchasers of the Show Car from the original Buyer (“Successors”). The Buyer shall ensure that any such Successors are made aware of and agree in writing that any such Successors are bound by the provisions in these Additional Terms&Conditions prior to any transfer, whether temporary or definitive, of the Show Car, by executing the “Successor Acknowledgment” as attached to these Additional Terms&Conditions as Exhibit A. Such Successor Acknowledgment shall only become effective between the Successor and SAT, once signed by the Successor with no amendment and if delivered to SAT at the following address: Scuderia AlphaTauri S.p.A. Attn Legal Department Via Boaria, 229 Faenza (RA), 48018 Italy Any amended version of the Successor Acknowledgment will not be valid and will not release the Buyer from the obligations herewith provided. If the Successor refuses to sign an exact copy of the Successor Acknowledgment, the Buyer and the Successor severely and jointly warrant to fully and permanently remove, at their own cost, the Red Bull & Sponsors IP to the reasonable satisfaction of SAT and provide proof of removal to SAT. 6) The Buyer acknowledges and confirms that the provisions contained in these Additional Terms&Conditions are complete and that no other statements or agreements in relation to the subject matter hereof exist, whether oral or in writing; and that these Additional Terms&Conditions shall be governed by and construed in accordance with Austrian law, to the exclusion of its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods, and that the commercial court of Vienna, Austria shall have exclusive jurisdiction.
